Watson Application
IMPORTANT - READ CAREFULLY: This license agreement is a legal and binding contract between you and Intellext, Inc. ("Intellext") for your use of Intellexts Watson Application, which includes computer software and as applicable, associated written materials and "online" or electronic documentation.
Terms of Use

BY CLICKING BELOW TO "ACCEPT THE TERMS IN THE LICENSE AGREEMENT" OR BY INSTALLING, COPYING, OR OTHERWISE USING THE WATSON APPLICATION, YOU AGREE TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS WHICH COMPRISE THIS AGREEMENT, INCLUDING THE WARRANTY DISCLAIMERS, LIMITATIONS OF LIABILITY, AND TERMINATION PROVISIONS BELOW. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT INSTALL OR USE E WATSON APPLICATION AND EXIT OR "CANCEL" NOW.
Non-Commercial Use Only Personal Use Only

The Watson Application is made available to you for your non-commercial use without charge but only as a limited, non-transferable license under these Terms and Conditions. You may not modify or in any way change the Watson Application, or publish, license, create derivative works from, or sell any information or software associated with or a part of the Watson Application. You may not use the Watson Application in any manner that could damage, disable, overburden, or impair Intellexts services.
Intellectual Property Rights

Intellext owns or has a license to the copyrights, as well as all other rights to the Watson Application and all portions of such application, including without limitation all Intellectual Property Rights, and no Intellectual Property Rights shall be transferred to you. "Intellectual Property Rights" means any and all rights existing from time to time under patent law, copyright law, trade secret law, trademark law, unfair competition law, and any and all other proprietary rights, and any and all applications, renewals, extensions, and restorations of any such rights, now or hereafter in force and effect worldwide. The Watson Application is protected by copyright laws and international treaty provisions and you must treat it the Watson Application like any other copyrighted material, subject to these Terms and Conditions. You agree not to modify, adapt, translate, prepare derivative works from, decompile, reverse engineer, disassemble, or otherwise attempt to derive source code from the Watson Application. You also agree to not remove, obscure, or alter Intellexts or any third partys copyright notices, trademarks, or other proprietary rights notices affixed to or contained within or accessed in conjunction with or through the Watson Application or any other of Intellexts services.
Disclaimer of Warranties

Intellext disclaims any responsibility for any harm or damages resulting from your use of the Watson Application or any third party software accessed with or through the Watson Application.
THE WATSON APPLICATION AND ANY THIRD PARTY SOFTWARE MADE AVAILABLE WITH OR THROUGH THE WATSON APPLICATION ARE PROVIDED "AS IS," WITH NO WARRANTIES WHATSOEVER. INTELLEXT, ITS LICENSORS AND ANY OTHER APPLICABLE THIRD PARTIES EXPRESSLY DISCLAIM TO THE FULLEST EXTENT PERMITTED BY LAW ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS. INTELLEXT, ITS LICENSORS AND ANY OTHER APPLICABLE THIRD PARTY WHO MAKES ITS SOFTWARE AVAILABLE WITH OR THROUGH THE WATSON APPLICATION DISCLAIM ANY WARRANTIES REGARDING THE SECURITY, RELIABILITY, TIMELINESS, AND PERFORMANCE OF THE WATSON APPLICATION AND SUCH THIRD PARTY SOFTWARE.
YOU UNDERSTAND AND AGREE THAT YOU ARE DOWNLOADING OR USING THE WATSON APPLICATION AND ALL THIRD PARTY SOFTWARE MADE AVAILABLE WITH THE WATSON APPLICATION AT YOUR OWN DISCRETION AND RISK AND THAT YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGES TO YOUR PROGRAMS OR COMPUTER SYSTEM, AND ANY ALTERATION, DESTRUCTION, OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF THE WATSON APPLICATION OR SUCH THIRD PARTY SOFTWARE.
SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. YOU MAY ALSO HAVE OTHER RIGHTS THAT VARY FROM STATE TO STATE AND JURISDICTION TO JURISDICTION.
Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL INTELLEXT, ANY OF ITS LICENSORS, OR ANY OTHER THIRD PARTY WHO MAKES ITS SOFTWARE AVAILABLE WITH OR THROUGH THE WATSON APPLICATION BE LIABLE TO YOU ON ACCOUNT OF YOUR DOWNLOAD, USE, OR MISUSE OF THE WATSON APPLICATION OR SUCH THIRD PARTY SOFTWARE. SUCH LIMITATION OF LIABILITY SHALL APPLY TO PREVENT RECOVERY OF DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, AND PUNITIVE DAMAGES WHETHER SUCH CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), LOST PROFITS, OR OTHERWISE, (EVEN IF INTELLEXT OR SUCH THIRD PARTY SOFTWARE PROVIDER HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). SUCH LIMITATION OF LIABILITY SHALL APPLY WHETHER THE DAMAGES ARISE FROM DOWNLOAD, USE, OR MISUSE OF OR RELIANCE ON THE WATSON APPLICATION OR ALL THIRD PARTY SOFTWARE MADE AVAILABLE WITH OR THROUGH THE WATSON APPLICATION, FROM INABILITY TO USE THE WATSON APPLICATION OR ALL THIRD PARTY SOFTWARE MADE AVAILABLE WITH OR THROUGH THE WATSON APPLICATION, OR FROM THE INTERRUPTION, SUSPENSION, OR TERMINATION OF INTELLEXT SOFTWARE AND SERVICES, THE WATSON APPLICATION, OR ANY OTHER THIRD PARTY SOFTWARE MADE AVAILABLE WITH OR THROUGH THE WATSON APPLICATION (INCLUDING SUCH DAMAGES INCURRED BY THIRD PARTIES). SUCH LIMITATION SHALL APPLY NOTWITHSTANDING A FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY AND TO THE FULLEST EXTENT PERMITTED BY LAW.
SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.
Termination

Intellext may terminate your license and right to use the Watson Application if you fail to comply with these Terms and Conditions or if you violate any Intellext acceptable use policy which may be posted from time to time at Intellext.com or any successor web site. In such event, you must destroy all copies of the Watson Application, all of its component parts and any third party software provided with such application and Intellext may suspend or deactivate your use of the Watson Application and such third party software with or without notice.
Miscellaneous Provisions

These Terms and Conditions will be governed by and construed in accordance with the laws of the State of Illinois, without giving effect to the conflict of laws provisions of Illinois or your actual state or country of residence. If for any reason a court of competent jurisdiction finds any provision or portion of these Terms and Conditions to be unenforceable, the remainder of these Terms and Conditions will continue in full force and effect.
These Terms and Conditions constitute the entire agreement between you and Intellext (and its licensors and other third party software providers) with respect to this license, your use of the Watson Application, other Intellext software or services or other third party software made available in conjunction with or through the Watson Application and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. Any waiver of any provision of these Terms and Conditions will be effective only if in writing and signed by Intellext and any third party licensor to Intellext or who make its software available with or through the Watson Application.
U.S. Government Restricted Rights.

The Watson Application and any related third party software and documentation are provided with RESTRICTED RIGHTS. Use, copying, or disclosure by the Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software - Restricted Rights at 48 C.F.R. 52.227-19, as applicable. Manufacturer for such purposes is Intellext, Inc., 444 N. Wabash, Suite 300, Chicago, IL 60611.
Submissions.

Should you transmit to Intellext by any means or by any media any materials or other information (including, without limitation, ideas, concepts, or techniques for new or improved services and products), whether as information, feedback, data, questions, comments, suggestions, or the like, you agree that such submissions are unrestricted and shall be deemed non-confidential, and you automatically grant Intellext and its assigns a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license, with the right to sublicense, to use, copy, transmit, distribute, create derivative works of, display, and perform the same.
